The Company’s History and Structure

In 1997, Shell and Texaco started two marketing joint ventures: one combine their Midwestern and Western operations which was known as Equilon. The other was known as Motiva which combined the Eastern and Gulf Coast

Texaco merged with Chevron in 2001, at which point Shell purchased Texaco’s shares during these joint ventures. In 2002, the Texaco stations that were purchased went through a process to be converted into Shell stations.

This process took two years and was called “the largest retail re-branding initiative in American business history.” Until the mid-1980’s, Shell was independent of the parent company Royal Dutch Shell in terms of the business they conducted in the United States.

In 1984, the Royal Dutch Shell made an attempt to purchase the shares of the Shell Oil Company that were traded on the New York Stock Exchange. There were about 30% that it didn’t own. This led to a court case.

Shell completed the buyout for $5.7 billion regardless. Despite this, Shell Oil still remain somewhat independent after the acquisition. The parent company didn’t exercise a lot of control based on complex legal reasons.

As per this new agreement, the Shell logo in the U.S. was to be slightly different from the one used in the rest of the world. Over time, the parent company started to exercise more control and eventually the logo became the same since June 1, 1998.
